George Dallas
George Dallas
Head of Content
George Dallas is Head of Content at the European Corporate Governance Institute, a global academic-led network that promotes leading edge academic research and scholarship relating to corporate governance. He is also Training and Education Advisor at the International Corporate Governance Network, where he serves as a member of its training faculty, both designing and teaching ICGN’s flagship Governance, Stewardship and Sustainability training programme.
From 2014-2022 George served as Policy Director at ICGN, where he coordinated ICGN’s governance polices and committees, and led ICGN’s policy development and regulatory outreach on behalf of members whose assets under management total over US$70 trillion. He was responsible for oversight of ICGN guidance statements, Viewpoint reports, public comment letters and broader thought leadership to promote ongoing governance reform and best practice by both companies and investors.
George is a member of the Advisory Council of the Corporate Governance Institute of the Frankfurt School of Finance, and is also a member of the Advisory Board at the Cambridge Institute for Sustainable Leadership supporting the development of a new course in sustainable governance.
From 2014-2019, George was a Visiting Lecturer at Bayes (formerly Cass) Business School, University of London, where he taught MSc and executive education courses in corporate governance. In addition, George works as an independent advisor; past projects include an assignment for the World Bank to develop a stewardship code in Kenya, a study of European Union corporate governance policy on behalf of the CFA Institute and teaching executive education courses in governance at the London Stock Exchange Academy. He is former Chair of Orlando Chamber Choir, a London-based registered charity.
Previously, George served as Director of Corporate Governance at F&C Investments (now part of Columbia Threadneedle Asset Management) in London, where he led F&C’s global policies relating to corporate governance, including proxy voting and engagement matters. He represented F&C in several professional organisations, including the Investment Committee of the Association of British Insurers and the Corporate Governance Committee of the Institute of Chartered Accountants of England and Wales.
Prior to joining F&C George was a Managing Director at Standard & Poor’s, where he held a range of managerial and analytical roles in New York and London over a 24-year period, including as region head of Standard & Poor’s European credit rating operations, head of its London office, global head of emerging markets and as global practice leader of S&P’s governance services unit. He served on the boards of S&P affiliates in France and Spain. George began his career in corporate banking at Wells Fargo Bank.
George is published widely in the fields of finance, corporate governance and responsible investment, including the books Governance, Stewardship and Sustainability (second edition, Routledge, 2022) and Governance and Risk, (McGraw-Hill, 2004).
George holds a BA degree, with distinction, from Stanford University and an MBA from the Haas School of the University of California at Berkeley.

Mike Lubrano is Managing Director of Valoris: Stewardship Catalysts, a firm that helps investors and portfolio companies improve their corporate governance, investor stewardship and sustainability performance. He is Adjunct Professor of Sustainable Finance and Impact Investment at Johns Hopkins School of Advanced International Studies in Washington, DC. Mike also leads the Governance, Stewardship and Sustainability Programme of the International Corporate Governance Network (ICGN) and served as ICGN’s Education Programme Advisor until December 2020. With George Dallas, Mike is the author of Governance, Stewardship and Sustainability, published in June 2021.
From 2007 to 2019, Mike was Co-Founder and Managing Director, Corporate Governance and Sustainability, at Cartica Management, LLC, an Emerging Markets fund manager with a concentrated, long-only portfolio of equity securities of publicly-traded companies. In this role he oversaw Cartica’s ESG analysis and led its engagements with management teams and boards of directors of target and portfolio companies in Latin America, Asia, Europe and the Middle East.
Over the past two decades, Mike has worked with a scores of investors to integrate the consideration of ESG factors in their investment process in a structured and value-enhancing manner - developing bespoke tool kits, supporting internal capacity-building and conducting trainings for investment teams. Both as an investor and as a consultant, Mike has worked with innumerable company boards of directors and management to improve their corporate governance and sustainability practices and transparency to enhance firm value and respond to the evolving expectations of capital markets, investors and other stakeholders.
Mike co-founded the Latin America Corporate Governance Roundtable with Mats Isaksson of OECD and remains a frequent consultant to the OECD’s Corporate Governance Committee. He is currently a member of the Board of Directors of FIBRA ECO, a Mexican real estate investment trust focused on environmental and social impact and performance.
From 1997 to 2007, Mike worked at International Finance Corporation (IFC), the private sector investment arm of the World Bank Group. He established and led IFC’s Corporate Governance Unit that developed the methodology for analyzing and improving the governance of portfolio companies that has now been adopted by virtually all development finance institutions. While at IFC, Mike served as advisor to the Ministry of Finance of Chile for the development of its corporate governance reforms and was one of the group of experts that designed Brazil’s Novo Mercado. He holds degrees from Harvard College (AB), Princeton University (MPA) and New York University School of Law (JD).

ICGN Governance & Stewardship Policy Manager
Carol was named the Governance and Stewardship Policy Manager for ICGN in October 2021, in which she will support the Global Governance and Global Stewardship Committees, among other duties. She will continue her participation as a Faculty Member of the ICGN’s Education and Training programmes.
Carol is the CEO & Founder of Carlow Consulting, LLC, a business she started in January 2017 to provide consulting on corporate governance, ESG programs and reporting, federal legislative and regulatory matters. She is a licensed attorney.
Carol’s career began as an Assistant County Prosecutor and Assistant City Attorney. She served within the administrations of three Ohio governors, one as a Cabinet director and as Chair/Vice Chair on several boards and commissions. Carol was appointed to serve on the Board of Trustees for a large institutional investor, the Ohio Deferred Compensation Board, and the School Facilities Commission. She received four resolutions from Governors for excellence in public service and nominations for the Neil V. Toth Leadership Award. Carol received two Catalyst Team Awards, the Business and Professional Women’s Outstanding Woman in the Legal Profession award and the Governor’s All-Star Award for participation on the Joint Health Care Committee.
She served five years on the Council of Institutional Investors (CII) Board, including the positions of Treasurer and Chair of the Audit and Policies Committees. Carol was the co-Chair of the ICGN Shareholder Responsibilities Committee (SHREC) for three years, under which the Committee updated the Diversity on Boards and Share Lending Guidelines. She has authored several articles on governance and ESG best practices, and regularly speaks on corporate governance issues.
Carol is a cum laude graduate of Ohio Wesleyan University and the Claude W. Pettit College of Law, Ohio Northern University.
