The Institute objective is to cause empirical research to be performed by members of  governmental agencies, private organizations, groups and academic societies on laws affecting commerce that directly relate to matters essential for the management of enterprises by business people in order to contribute to the proper administration of laws relating to business and the fair maintenance of economic order. To satisfy its objective, the Institute:

  1. Conducts empirical surveys relating lo commercial law;

  2. Gathers internal and external information relating to commercial law; and

  3. Publishes books and articles and sponsors research boards and lectures to enhance knowledge relating to commercial law.

 The activities listed above are embodied in the following.

1. Empirical Research

 Surveys and analyses are regularly conducted on the state of laws and actual practices in the organizations and operations of member companies as subjects. Surveys and analyses are also conducted on laws and form contracts which relate to commercial sales transactions. In addition, various surveys are conducted when considered necessary from a legal affairs managerial perspective for member companies. Finally, the Institute regularly conducts surveys and submits reports as entrusted by related government agencies.         

2. The Commercial Law Review: a tri-monthly publication

 The Commercial Law Review was first published in October 1955, the year the Institute was established, as an organizational periodical for members with the idea of providing a “legal magazine to be read by business people.” The Review is published three times per month with a central theme of legal research relating to commercial enterprises. It is a specialized legal affairs periodical covering topics from basic issues to current problems, with commentaries specifically adapted illuminate essential legal issues actually arising in the management activities of businesses as well as explanations on legislative trends concerning laws regulating business organizations and activities. Furthermore, the Institute publishes white papers on topics like general stockholder meetings and capital increments in addition to other special editions of the Review as deemed necessary.

3. Sponsorship of Research Groups

The Institute sponsors research groups for issues arising in connection with the   implementation of laws relating to civil/commercial/corporate law and economic policies. Such groups are regularly sponsored to conduct cooperative basic research on various themes by and among governmental agencies, private industry and academia. The groups investigate legislative issues and report their findings by drafting   standard rules, form contracts, manuals and guidebooks.

4. International Exchange

 The Institute sponsors surveys and research of civil/commercial/corporate affairs and economic doctrines of other foreign countries as well as the actual implementation of the same. The Institute also sponsors the collection of related data, as well as surveys on organizations and functions of in-house legal departments. The Institute is in continuous communication with its foreign counterparts in order to conduct mutual information exchanges. The Institute also dispatches survey teams and receives observational groups from abroad.

5. Collection of Internal/External Materials Relating to Civil/Commercial/Corporate Affairs and Economic Policies

 The Institute's Materials Section has collected over 20,000 volumes of material   relating to civil/commercial/corporate affairs and economic policies which is furnished to members for use. The Institute is presently taking steps to make these materials available in an electronic format.

6. Standing Legal Advice Desk

 The Institute has established a standing legal advice desk which is offered free-of-charge to members. It is ready to provide direct academic and practical advice from knowledgeable first rate attorneys on legal issues arising in daily business activities.

7. Public Announcement Activities

 The Institute holds timely lectures for members in Tokyo, Osaka and elsewhere on important current issues relating to legislation affecting business.

8. Test of Legal Proficiency

The Institute jointly produces and administers "Test of Legal Proficiency" with Japan Law Foundation. This testing programs is used as certificate for legal knowledge at several colleges and companies.

9. Whistleblowing compliance management system certification business

Received registration designation from the Consumer Affairs Agency, Government of Japan on December 19, 2018, and started the registration service of the whistleblowing compliance management system certification (self-adaptation declaration registration system) from February 12, 2019.

10. Shojihomu Kenkyukai Award

The Institute founded “Shojihomu Kenkyukai Award” in 2005.

11. Ootori Tsuneo Fund 

 The Institute founded “Ootori Tsuneo Fund” for International Exchange Academic Research in 2014.

12. Law-related education

The Institute supports enlightenment activities of Law-related education, which is designed to help young people develop into knowledgeable and skilled citizens. The Institute runs a website named "Law-Related Education Forum" for posting information about Law-related education.
