Mission
Eumedion’s mission is to enhance the corporate governance, environmental and social performance and strategy of listed companies. At the same time, Eumedion’s participants are encouraged to take their own ESG-performance to a higher level. Furthermore, Eumedion promotes the acceptance of, and adherence to, standards and guidelines for corporate governance and sustainability by listed companies and institutional investors, especially in the Netherlands and Europe.
 
Structure
Eumedion has no profit-making objective. Although Eumedion has the legal form of a foundation, it has
many of the features of an association. The Members’ Meeting, for example, has a right to adopt the
annual policy plan (including the budget) and a right to approve the annual accounts, the authority to
grant the Board discharge from liability for its management every year and the power to dismiss the entire
Board. Each member has one vote.
 
Membership
Some 70 institutional investors, based in and outside the Netherlands, with interests in Dutch listed
companies. Approx. 50% pension funds; other 50% asset managers, insurance companies and mutual
funds. The members represent AuM in excess of EUR 1 trillion. and approx. 20% of Dutch listed shares.
 
Governance
9 member general board of whom 4 in the executive board. General board elects new board members
after consultation of membership circle. Members’ Meeting has right to dismiss the entire board. Policy
issues prepared in 4 committees (legal, audit, research and investment committee) and adopted by the
board.
 
Goals
1. Influencing legislation and regulations in the Netherlands and European Union
2. Facilitating collective engagement with Dutch listed companies by means of:
  • Sending ‘spearheads letter’ to 75 largest Dutch companies
  • Organising and preparing collective dialogue with all major Dutch listed companies
  • Sending ‘alerts’ in proxy season in case AGM proposal is in material breach with Dutch legislation, Dutch corporate governance code and/or Eumedion corporate governance manual
