Our 2023 ICGN Annual Virtual Japan Forum on 13 September, hosted by JPX/TSE, offers the opportunity to hear from leaders in the field of corporate governance and investor stewardship, with remarks from Kerrie Waring, CEO, ICGN.

This year the Japan Financial Services Agency published an ‘Action Program for Substantiating Corporate Governance Reform;’. This aims to expedite the practical application of recommendations in Japan’s Corporate Governance Code. It includes focus on board oversight of capital allocation, governance of sustainability, effectiveness of independent directors and improved investor stewardship disclosures. In the meantime, the TSE is proactively assessing the quality of governance in Prime Market listed companies resulting in imminent relegation for many. How will the market react? Are the governance expectations placed upon Japanese companies realistic? Which issues should be prioritised and why?
Panel discussions will address the key issues facing Japanese investors and JPX listed companies. 

9月13日にJPX/東証が主催する2023年ICGN 年次バーチャルジャパンフォーラムICGN CEOのケリー・ウェアリング氏からのメッセージとともに、コーポレート・ガバナンスと投資家スチュワードシップの分野のリーダーから話を聞く機会が提供されます。

今年、金融庁は「コーポレートガバナンス改革の実質化に向けたアクション・プログラム」を公表しました。これは、日本のコーポレートガバナンス・コードの推奨事項の実質的運用を促進することを目的としています。 これには、資本配分に関する取締役会の監督、持続可能性のガバナンス、独立取締役の実効性、投資家によるスチュワードシップ開示の改善に重点が置かれています。一方、東証はプライム市場上場企業のガバナンスの質を積極的に評価しており、多くの企業の降格の可能性も考えられます。どのように市場は反応するでしょうか？ 日本企業に課せられるガバナンスへの期待は現実的でしょうか？ どの問題を優先する必要があるでしょうか?またその理由は何ですか?
パネルディスカッションでは、日本の投資家と東証上場企業が直面する主要な問題について取り上げます。
