The
emphasis was on recent legislative and regulatory developments
in the United States, how they compare with overseas
rules and best practices, and their practical implications
for the global financial markets.
The State of Delaware is the corporate home of many
of America’s most important companies and is the
source of leading legal interpretations and standards
of corporate governance. Its laws and the decisions
of its Court of Chancery and Supreme Court have an impact
far beyond its borders.
The goal of this conference was to
examine some of the leading governance questions that
are common to the United States and to foreign jurisdictions,
and to review further the impact of US governance standards
on the willingness of foreign issuers to list in US
markets, the attractiveness of US stocks to foreign
investors, and the suitability of overseas markets for
U.S. investors.
