Using the guidance

The ICGN is an essential CalPERS partner and a global leader in advancing sound corporate governance principles. As a founding member of the ICGN, we have great confidence in its international objectives for improved accountability, transparency and other measures to enhance the alignment of corporate boards and shareowners. ICGN’s Global Corporate Governance Principles strongly inform the CalPERS international proxy voting and governance initiative framework.

ICGN Global Corporate Governance Principles

About the Principles

The ICGN’s Global Corporate Governance Principles (2005) highlight elements that ICGN members take into account when making investment decisions.

Along with traditional financial criteria, the governance of a corporation is an essential factor that investors take into consideration when deciding how to allocate their investment capital. ICGN members also often take into account the governance profile of a market in making investment decisions.

Practical guidance can help boards meet real-world expectations so that they may operate most efficiently and, in particular, compete for scarce investment capital effectively. If investors and companies succeed in establishing productive communication on governance issues companies will have enhanced prospects for economic prosperity, fuller employment, better wages and greater shareholder wealth.

Review of the Principles Underway

The ICGN Global Corporate Governance Principles is a vital framework for the ICGN work programme, both in policy and best practice development internationally. Paul Lee, Director at Hermes EOS is leading a team of members in a review of the principles to ensure they are comprehensive and relevant. The current financial crisis has prompted calls for reform in capital markets and the Principles are being revised to ensure they are relevant to the current environment calling for corporate governance reform.
