Nomination Criteria
In identifying potential candidates for the ICGN Board, the Committee recognise the following as far as possible:
- that ICGN’s mission is to raise standards of corporate governance worldwide;
- that the historic strength of the ICGN comes from the investing community;
- the different types of organisations, backgrounds and experience represented amongst the membership;
- the geographic and gender representation of the membership.

Committee Terms of Reference
The Committee’s purpose is each year to identify candidates who are willing and able to serve on the ICGN Board of Governors. The Committee recommends to the membership up to 12 members for election.
Reports to Members
Every year, around the time of the Annual Conference, ICGN Committees meet with ICGN members to report on progress of the current work programme and proposals for the future.

Profile
Ms Kerrie Waring
Kerrie joined the ICGN in January 2008 as Chief Operating Officer.Prior to her appointment she was Corporate Governance Manager at the Institute of Chartered Accountants in England & Wales where she led the Institute’s US-UK corporate governance initiative. Prior to that in her role as International Professional Development Manager at the Institute of Directors she led the development of several initiatives including the Global Director Development Circle linking board training institutions in the US, UK, Australia, New Zealand, Canada and South Africa. Kerrie is co-author and editor of the 'Handbook on International Corporate Governance' (Kogan Page, 2004) and co-author of the World Bank – OECD’s Global Corporate Governance Forum’s Global Director Training Toolkit.Kerrie has a BA honours Degree in international Business and Japanese and is a professionally qualified Company Secretary.
